Lyvida is operated by Lyvida Ltd.

References to “Lyvida,” “we,” “us” or “our” mean Lyvida Ltd.

References to “you” or “member” mean the person using Lyvida.

Lyvida may provide:

• Online classes.
• Video lessons.
• Expert-led educational content.
• Trailers, previews and promotional content.
• Membership access.
• LyvdCircle community features.
• Comments, discussions, polls, Q&A or live sessions.
• Digital resources.
• Instructor pages.
• Personalised recommendations.
• Gift memberships or class access.
• Future mobile applications.
• Related services, campaigns or brand experiences.

Some features may be free. Some features may require payment, membership or registration.

We may update, improve, add, remove or change features over time.

Lyvida is launching first in the United States. Paid memberships and gifts are currently available in the United States only; the United Kingdom and the European Union are coming soon. Visitors from other locations may create a free account but cannot currently buy a paid membership or gift.

Our platform, pricing, memberships, features, content, payment options and legal rights may vary by location.

If you access Lyvida from outside the United States, you are responsible for ensuring that your use of Lyvida is lawful in your location.

Nothing in these Terms limits any mandatory consumer rights, privacy rights or digital service rights that apply to you under the laws of your country, state or region of residence.

You must be at least 18 years old to create an account, purchase a membership or participate in LyvdCircle, unless we expressly allow otherwise in writing.

By using Lyvida, you confirm that:

• You are legally able to enter into these Terms.
• The information you provide is accurate.
• You will keep your account secure.
• You will use Lyvida only for lawful purposes.
• You will follow these Terms and our Community Standards.

You may need an account to access classes, membership benefits or LyvdCircle.

You are responsible for:

• Keeping your login details secure.
• All activity under your account.
• Notifying us if you suspect unauthorised access.
• Keeping your account information up to date.

You must not share, sell, transfer or misuse your account. Lyvida membership is for personal use unless we agree otherwise.

We may suspend or close accounts that breach these Terms, misuse the platform, threaten community safety, abuse other members, infringe intellectual property or create legal, operational or reputational risk.

Lyvida may offer paid memberships, class passes, gift memberships, promotional offers, trials or other paid products.

Prices, billing periods, renewal terms and benefits will be shown before purchase.

By purchasing a paid service, you authorise us and our payment processor to charge the payment method you provide for the applicable fees, taxes and renewal charges.

Payments may be processed by third-party payment providers such as Stripe. Their terms and privacy notices may also apply.

Before you purchase a Lyvida membership or subscription, we will aim to clearly show the price, billing period, renewal terms, trial terms where applicable, cancellation method and any material restrictions.

If your membership renews automatically, you authorise Lyvida and our payment processor to charge your payment method at the stated renewal interval unless you cancel before the next billing date.

You can cancel your subscription through your account settings where available, or by contacting hello@lyvida.com if account cancellation tools are not available or not functioning correctly.

We aim to make cancellation clear, accessible and not unnecessarily difficult.

Cancellation stops future billing. It does not automatically refund amounts already paid unless required by law, stated in the offer terms or approved by Lyvida.

If a free trial or promotional period converts into a paid subscription, the relevant trial length, price after trial and cancellation deadline should be shown before you begin the trial.

You are responsible for cancelling before the renewal date if you do not want your membership to continue.

Nothing in this section limits rights you may have under applicable consumer protection, automatic renewal, distance selling or digital content laws.

If you purchase a subscription or membership that renews automatically, it will continue to renew unless cancelled before the next billing date.

We will aim to make renewal terms clear before purchase.

You can cancel your subscription through your account settings or by contacting us where account cancellation tools are not available.

Cancellation normally stops future billing. It does not automatically refund payments already made unless required by law or stated in the offer.

We may send renewal reminders, payment notices, failed payment notices or other subscription communications where required or appropriate.

Lyvida may offer free trials, discounted memberships, founding member pricing or promotional pricing.

The terms of each offer will be shown at the time of sign-up.

Unless stated otherwise, a trial may convert into a paid subscription at the end of the trial period if you do not cancel before the trial ends.

Promotional offers may be limited by time, location, eligibility, account type or availability.

We may withdraw or change promotional offers where reasonable, but this will not affect benefits already purchased unless permitted by law.

Your cancellation and refund rights depend on your location, the type of service purchased, the offer terms and applicable consumer law.

If you are a UK or EU consumer, you may have statutory cancellation rights when buying online. For digital content or streaming access made available immediately, your cancellation rights may be affected if you expressly agree to immediate access and acknowledge that this may affect your right to cancel.

Where required, we will provide legally required pre-contract information, cancellation information and any relevant cancellation form.

We may provide refunds where:

• Required by law.
• We are unable to provide the service through no fault of yours.
• You were charged incorrectly.
• A refund is stated in the specific offer terms.
• We decide, at our discretion, that a refund is appropriate.

We do not usually provide refunds simply because you did not use the service, forgot to cancel or changed your mind after a paid period has started, unless required by law.

Nothing in these Terms limits your statutory rights.

If you are a consumer in the United Kingdom, European Union or another jurisdiction with mandatory consumer protection laws, you may have additional rights in relation to online purchases, digital content, subscriptions, cancellations, defective digital services or unfair terms.

Where required by law, we will provide relevant pre-contract information, cancellation information and confirmation of your purchase.

For digital content or streaming services made available immediately, your cancellation rights may be affected if you request or agree to immediate access and acknowledge that this may affect your right to cancel.

If digital content or a digital service is faulty, unavailable or not provided as described, you may have legal remedies depending on your location.

Nothing in these Terms excludes or limits rights that cannot legally be excluded or limited.

Lyvida provides digital content and online services. We aim to offer a high-quality experience, but we cannot guarantee that the platform will always be uninterrupted, error-free or available at all times.

Access may be affected by:

• Maintenance.
• Updates.
• Security work.
• Third-party services.
• Internet issues.
• Device compatibility.
• Payment problems.
• Legal or operational reasons.
• Circumstances outside our reasonable control.

We may change, replace, remove or update classes, instructors, community features, categories, recommendations or platform design over time.

If we materially reduce a paid service during your subscription period, we will act reasonably and comply with applicable law.

Lyvida may offer access during a Founding Member Phase, early access phase, pilot launch or phased release period.

During this period, the platform is live and available, but certain features, design elements, community tools, class libraries, recommendations, payment flows, performance, device compatibility and user experience details may continue to be tested, refined, improved or expanded.

You understand that during a Founding Member Phase:

• Some features may be new, experimental or evolving.
• Occasional bugs, errors, interruptions, delays or performance issues may occur.
• Some features may be adjusted, renamed, redesigned, added or removed.
• Class availability, community features and member tools may develop over time.
• Lyvida may request feedback from members to improve the platform.
• Not all planned features may be available immediately at launch.

We will use reasonable efforts to operate Lyvida professionally, address material issues, improve the member experience and maintain the quality of the platform.

If you experience a technical issue, please contact hello@lyvida.com with relevant details, including your device, browser, account email, screenshots where helpful and a description of the issue.

This section does not limit any statutory rights you may have as a consumer.

We test Lyvida before and after release, but digital platforms can experience technical issues.

We do not guarantee that Lyvida will always be uninterrupted, error-free, fully compatible with every device or free from bugs.

Technical issues may include, for example:

• Login or registration problems.
• Payment or subscription processing issues.
• Video playback or streaming interruptions.
• Community posting or loading issues.
• Email delivery delays.
• Display issues on certain devices or browsers.
• Temporary downtime.
• Incomplete feature behaviour during phased release.
• Performance variations caused by third-party services, internet providers or hosting infrastructure.

Where a material technical issue affects paid access, we will aim to act reasonably. Depending on the circumstances, this may include support, troubleshooting, restoration of access, extension of access, account adjustment or another appropriate remedy required by law or chosen by Lyvida.

You agree to report issues in good faith and allow us a reasonable opportunity to investigate and resolve them.

During the Founding Member Phase, we may invite members to share feedback, ideas, suggestions, bug reports, usability comments, feature requests or other observations.

By sending feedback to Lyvida, you allow us to use it to improve, develop, modify, market and operate Lyvida and LyvdCircle related services without obligation to compensate you.

We value member feedback, but we are not required to implement every suggestion.

Please do not submit confidential, proprietary or third-party information unless you have the right to do so.

Lyvida content is provided for educational, informational and lifestyle purposes.

Lyvida content may cover wellness, beauty, fashion, confidence, identity, communication, self- presentation, personal development, style, fitness, relationships, business and related topics.

Lyvida does not provide medical advice, diagnosis, treatment, therapy, legal advice, financial advice or emergency support.

You should not rely on Lyvida content as a substitute for professional medical, psychological, nutritional, legal, financial or other regulated advice.

Always consult a qualified professional before making decisions that may affect your health, safety, finances, legal position or wellbeing.

If you are experiencing a medical emergency, mental health crisis or immediate danger, contact emergency services or a qualified professional immediately.

Lyvida may include content about wellness routines, lifestyle habits, confidence, appearance, grooming, skincare, fitness, nutrition, relationships, fashion and personal transformation.

Results vary from person to person.

We do not guarantee that any class, instructor, method, routine, recommendation or community interaction will produce a specific outcome.

Any decision you make based on Lyvida content is your responsibility.

You should consider your personal circumstances, health, limitations, sensitivities, allergies, professional obligations and local laws before applying any content.

Lyvida works with instructors, creators, experts, professionals and partners.

Instructor views are their own unless we clearly state otherwise.

We aim to select instructors carefully, but we do not guarantee that all content will be suitable for every member.

We may edit, curate, organise or present instructor content in a Lyvida style, but the presence of an instructor on Lyvida does not mean that we endorse every external product, service, opinion, claim or activity associated with that instructor outside Lyvida.

LyvdCircle is Lyvida’s private community experience.

It is designed for thoughtful connection, growth, belonging, discussion and member interaction.

By using LyvdCircle, you agree to follow:

• These Terms.
• The LyvdCircle Community Standards.
• Any community rules, prompts or moderation guidance we publish.

You must not use LyvdCircle to harass, threaten, exploit, abuse, deceive, spam, impersonate others, publish illegal content, share private information without consent, sell unauthorised products or create unsafe experiences for other members.

We may moderate, hide, remove, restrict or report content where we believe it breaches these Terms, our Community Standards, applicable law or community safety expectations.

Lyvida may moderate LyvdCircle and other interactive areas to protect safety, quality, legality and community trust.

We may remove, restrict, hide, label, limit distribution of or take action against content or accounts where we believe there has been a breach of these Terms, our Community Standards, applicable law, intellectual property rights, privacy rights or platform safety expectations.

Where appropriate, we may provide a reason for moderation action and allow you to contact us if you believe a decision was made in error.

You may report content or behaviour that you believe is illegal, harmful, abusive, misleading, infringing or against our Community Standards by using available reporting tools or contacting hello@lyvida.com.

Reports must be made in good faith.

We may not always agree with a report, and we are not required to remove content simply because a user disagrees with it.

Where legally required, we will follow applicable notice, action, transparency, appeal or user redress obligations.

“User content” means content you submit, upload, post or share on Lyvida or LyvdCircle, including comments, posts, replies, questions, images, profile content, poll responses, messages, feedback or other contributions.

You keep ownership of your user content.

By submitting user content, you grant Lyvida a worldwide, non-exclusive, royalty-free licence to host, store, display, reproduce, moderate, adapt, format, distribute and use that content as needed to operate, improve, protect and promote Lyvida and LyvdCircle.

This licence allows us to:

• Display your content to relevant users.
• Operate community features.
• Moderate content.
• Create previews, summaries or notifications.
• Troubleshoot and improve the platform.
• Use feedback to improve Lyvida.

We will not sell your private LyvdCircle posts to third parties.

You are responsible for your user content. You confirm that you have the rights needed to share it and that it does not breach law, third-party rights or these Terms.

You must not post or share content that:

• Is illegal.
• Is abusive, hateful, threatening or harassing.
• Promotes violence, terrorism or exploitation.
• Contains child sexual abuse material or sexual exploitation.
• Encourages self-harm or suicide.
• Promotes dangerous behaviour.
• Contains non-consensual intimate content.
• Infringes copyright, trade marks or other rights.
• Contains someone else’s private information without consent.
• Impersonates another person or organisation.
• Is misleading, fraudulent or deceptive.
• Contains spam, malware, phishing or scams.
• Makes unauthorised medical, beauty, health, financial or legal claims.
• Sells or promotes unauthorised products or services.
• Damages the safety, quality or integrity of Lyvida.

We may remove content and suspend accounts where necessary.

LyvdCircle is intended to feel private and respectful, but no online community can guarantee complete confidentiality.

You should not share information that is highly private, sensitive, confidential or unsafe to disclose.

You must not copy, screenshot, repost, publish or share another member’s LyvdCircle content outside Lyvida without their clear permission.

Lyvida owns or licenses the Lyvida platform, brand, design, logos, visual identity, classes, videos, scripts, edits, graphics, interfaces, copy, software, structure, trademarks and other content unless stated otherwise.

You receive a limited, personal, non-transferable, non-exclusive, revocable licence to access and use Lyvida for your own personal, non-commercial use.

You must not:

• Copy, download, reproduce, distribute, sell or exploit Lyvida content without permission.
• Record, rip, scrape or redistribute classes or videos.
• Share paid content outside your account.
• Use Lyvida content to train AI models without written permission.
• Reverse engineer the platform.
• Remove copyright, trade mark or ownership notices.
• Create competing services using Lyvida content, design or structure.

All rights not expressly granted are reserved.

Lyvida may make certain public pages available to search engines, AI search tools and web crawlers to help people discover Lyvida, LyvdCircle, our classes, instructors and public editorial content.

Paid, private, member-only or community content must not be scraped, copied, extracted, downloaded, reproduced, redistributed or used to train AI systems without our prior written permission.

You must not use automated tools, bots, crawlers, scrapers, browser automation, AI agents or similar technologies to access, copy, mine, monitor, reproduce, summarise at scale or commercially exploit Lyvida content or member content without permission.

This does not prevent ordinary use of public search engines where access is permitted by our technical settings, robots.txt and applicable law.

If you send us ideas, suggestions, feedback or recommendations, we may use them without obligation to compensate you, provided we do not misuse your personal information.

This helps us improve Lyvida, LyvdCircle and future services.

Lyvida may integrate or link to third-party services, including payment processors, video hosting providers, analytics tools, email tools, social media platforms, affiliate partners, instructor pages and external websites.

We are not responsible for third-party services we do not control.

Your use of third-party services may be subject to their own terms and privacy policies.

Lyvida may feature products, brands, services or recommendations in wellness, beauty, fashion or lifestyle contexts.

Where required, we will disclose affiliate relationships, sponsorships, paid partnerships or commercial arrangements.

Product mentions are not guarantees of suitability, safety, quality, results or availability.

You should make your own judgement and check product information, ingredients, warnings, professional advice and suitability before purchase or use.

You agree not to:

• Use Lyvida unlawfully.
• Interfere with platform security.
• Attempt unauthorised access.
• Use another person’s account.
• Share your account with others.
• Bypass payment, access controls or geographic restrictions.
• Upload malware or harmful code.
• Attack, overload or disrupt the platform.
• Misuse support channels.
• Abuse staff, instructors or members.
• Use Lyvida for unauthorised commercial activity.
• Damage Lyvida’s reputation or community integrity.

We may suspend, restrict or terminate your access if:

• You breach these Terms.
• Payment fails.
• We suspect fraud, abuse or security risk.
• You misuse community features.
• You infringe intellectual property.
• Your conduct creates legal, operational, reputational or safety risk.
• We are required to do so by law.

Where reasonable, we may give notice or an opportunity to resolve the issue. In serious cases, we may act immediately.

You may stop using Lyvida at any time and may cancel your subscription through your account or by contacting us.

We may update the platform, design, features, content, pricing, membership options, instructors, categories or community structure over time.

We will try to avoid changes that materially reduce paid benefits during a paid period.

If a material change affects your rights or paid access, we will act reasonably and comply with applicable law.

We may update these Terms from time to time.

If changes are material, we will take reasonable steps to notify you.

Your continued use of Lyvida after updated Terms take effect means you accept the updated Terms.

If you do not agree, you should stop using Lyvida and cancel any active subscription.

Lyvida is provided on an “as is” and “as available” basis.

We do not guarantee that:

• The platform will always be available.
• All content will be error-free.
• Every class will meet your expectations.
• The platform will be compatible with every device.
• Specific personal, professional, wellness, beauty, fashion or transformation outcomes will occur.

Nothing in these Terms excludes or limits rights that cannot legally be excluded or limited.

We do not exclude or limit liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to applicable law, Lyvida is not responsible for:

• Indirect or consequential loss.
• Loss of profit, revenue, business or opportunity.
• Loss caused by your misuse of the platform.
• Loss caused by third-party services.
• Loss caused by events outside our reasonable control.
• Personal decisions you make based on educational or lifestyle content.
• User content posted by other members.

If you are a consumer, nothing in these Terms affects your statutory rights.

If you use Lyvida for business purposes, or if your misuse of Lyvida causes claims, losses, damages, costs or expenses, you agree to compensate us for losses arising from your breach of these Terms, misuse of the platform, infringement of rights or unlawful conduct.

This clause does not apply to consumers where prohibited by law.

These Terms are governed by the laws of England and Wales, unless mandatory consumer protection laws in your country, state or region require otherwise.

If you are a consumer living outside England and Wales, you may also benefit from mandatory consumer protection laws in your country, state or region of residence.
